TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you and Domies Technology Limited ("Company", "we", "us", or "our"), governing your access to and use of the elio mobile application and related services (collectively, the "Service").
By downloading, installing, or using the Service, you confirm that you are at least 18 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, please do not use the Service.

1. DESCRIPTION OF SERVICE
elio is an AI-powered companion application that enables users to engage in text-based conversations with an AI character named Elio — a personalized virtual companion designed to provide emotional support, entertainment, and meaningful interaction.
The Service includes, but is not limited to:
- Real-time AI chat powered by large language models;
- A relationship progression system including intimacy levels and relationship stages;
- A virtual currency system ("DOL") for accessing premium features and content;
- Image and multimedia message exchange;
- Account management via email/password or social login (Google, Facebook);
- A guest mode for unauthenticated exploration of core features.
2. ELIGIBILITY
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:
- You are 18 years of age or older;
- You have the legal capacity to enter into a binding agreement;
- Your use of the Service does not violate any applicable law or regulation;
- You are not located in a jurisdiction where accessing AI companion services is prohibited.
We reserve the right to request proof of age at any time and to suspend or terminate accounts where age requirements cannot be verified.
3. ACCOUNTS AND REGISTRATION
3.1 Account Creation
You may create an account by registering with an email address and password, or by authenticating through a supported third-party social login provider (Google or Facebook). You may also explore limited features as a guest without registering; however, guest sessions may be subject to usage limits and will not retain conversation history across sessions.
3.2 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activities that occur under your account;
- Promptly notifying us at support@banlv-ai.com if you suspect any unauthorized use of your account.
You may not share your account with others, create accounts on behalf of other persons, or operate multiple accounts for the purpose of circumventing restrictions.
3.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update your account information as necessary to keep it accurate. We are not liable for any issues arising from inaccurate account information provided by you.
4. VIRTUAL CURRENCY AND IN-APP PURCHASES
4.1 DOL Virtual Currency
The Service uses a virtual currency called "DOL" which may be used to unlock premium features, send special messages, access additional content, or extend usage within the Service. DOL has no real-world monetary value and cannot be exchanged for real currency.
4.2 Purchases
All purchases of DOL or premium subscriptions are final and non-refundable, except where required by applicable law. By completing a purchase, you authorize us (or our payment processor) to charge your payment method for the stated amount.
4.3 No Property Rights
Virtual currency and virtual items do not constitute personal property. They are licensed to you for use within the Service only. We reserve the right to modify, manage, control, or eliminate virtual currency at our sole discretion, with or without notice.
5. USER CONTENT AND CONDUCT
5.1 Your Content
You retain ownership of any content you submit through the Service, including messages, images, or other materials ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display that content solely for the purpose of operating and improving the Service.
5.2 Prohibited Conduct
You agree not to use the Service to:
- Submit content that is unlawful, abusive, threatening, defamatory, obscene, or otherwise objectionable;
- Impersonate any person or entity;
- Attempt to reverse-engineer, scrape, or extract the AI model, algorithms, or underlying system prompts;
- Use automated scripts, bots, or scrapers to access the Service;
- Attempt to bypass rate limits, authentication, or other security controls;
- Distribute, sell, or sublicense access to the Service to third parties;
- Engage in any activity that interferes with or disrupts the Service or servers;
- Use the Service to collect personal information about other users without consent.
We reserve the right to remove any User Content and to suspend or terminate accounts that violate these rules, at our sole discretion and without prior notice.
6. AI-GENERATED CONTENT
All responses, messages, and content generated by the Elio AI character are produced by an artificial intelligence system and do not represent the views, opinions, or advice of Domies Technology Limited or any of its employees.
You acknowledge and agree that:
- The AI companion is a fictional character and not a real person;
- AI-generated content may occasionally be inaccurate, inappropriate, or inconsistent;
- You should not rely on AI-generated content for medical, legal, financial, psychological, or other professional advice;
- We do not guarantee that the AI will always respond in a specific manner or maintain a consistent personality;
- The Service is intended for entertainment and emotional companionship purposes only.
If you are experiencing a mental health crisis or emergency, please contact a qualified professional or emergency services in your region.
7. INTELLECTUAL PROPERTY
All content, features, design, graphics, logos, trademarks, and software comprising the Service are the exclusive property of Domies Technology Limited or its licensors, and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not:
- Copy, modify, or create derivative works of any part of the Service;
- Use any Company trademarks without prior written consent;
- Remove or alter any proprietary notices or labels on the Service.
8. THIRD-PARTY SERVICES
The Service integrates with third-party platforms and services, including but not limited to:
- Google Sign-In — subject to Google's Terms of Service;
- Facebook Login — subject to Meta's Terms of Service;
- OpenAI API — for AI conversation generation;
- Supabase — for database and authentication infrastructure;
- Cloudflare — for content delivery and security.
We are not responsible for the practices of these third-party services. Your use of such services is governed by their respective terms and privacy policies.
9. DISCLAIMERS
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES;
- ANY WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT;
- ANY WARRANTY THAT DEFECTS WILL BE CORRECTED.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOMIES TECHNOLOGY LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- DAMAGES RESULTING FROM YOUR RELIANCE ON AI-GENERATED CONTENT;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- ANY OTHER MATTER RELATING TO THE SERVICE.
IN JURISDICTIONS WHERE LIMITATION OF LIABILITY IS NOT PERMITTED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) USD $50.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Domies Technology Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your access to or use of the Service;
- Your violation of these Terms;
- Your violation of any third-party right, including intellectual property rights or privacy rights;
- Any User Content you submit through the Service.
12. TERMINATION
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination:
- Your right to use the Service will immediately cease;
- Any DOL balance or virtual items in your account may be forfeited without refund;
- We may delete your account data in accordance with our Privacy Policy.
You may delete your account at any time by contacting us at support@banlv-ai.com. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, and limitation of liability.
13. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the parties agree to submit the dispute to binding arbitration under the rules of the Hong Kong International Arbitration Centre (HKIAC), with proceedings conducted in English in Hong Kong.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm. Nothing in this section limits your statutory rights under applicable consumer protection laws in your jurisdiction.
14. CHANGES TO THESE TERMS
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of this document and, where appropriate, by sending an in-app notification or email to the address associated with your account.
Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.
